Entering multiple email addresses will disqualify all of your entries. By entering this Sweepstakes, entrants accept and agree to be bound by these Official Rules. Any violation of these rules may result in disqualification. All decisions of the Sponsor (as defined below) and judges regarding this Sweepstakes are final and binding in all respects. 1. SWEEPSTAKES PERIOD. The sweepstakes will run from the first second to the last second of each calendar day, beginning on Tuesday, 6/16/2009 at 12:01 am Eastern Time ("ET") and will continue until a future date, determined by sponsor, but no earlier than Wednesday, 7/15/2009 at11:59 pm ET. All entries must be received during this period ("Sweepstakes Period"). Only one entry per person is permitted per calendar day. Entering multiple email addresses will disqualify all of your entries. 2. ELIGIBILITY. This Sweepstakes is only open to all, except officers, directors, members, and employees of Seed Media Group, and its respective parents, affiliates, subsidiaries, advertising and promotion agencies and any other party associated with the development or administration of this Promotion, and the immediate family (i.e., parents, children, siblings, spouse and their respective spouses, regardless of where they reside), and persons residing in the same household, whether or not related, as such individuals. 3. HOW TO ENTER. Visit http://www.seedmagazine.com/bookgiveaway during the Sweepstakes Period and follow the instructions to complete the quiz and submit the entry form. All entries become the property of the Sponsor and will not be acknowledged or returned. Limit: One entry per person and per e-mail address per day during the Sweepstakes Period. All entrant information, including e-mail addresses, is subject to the respective Privacy Policy of the Sponsor. 4. WINNER SELECTION AND NOTIFICATION. Selection of winners will be conducted by random drawing from all eligible entries received during each calendar day during the Sweepstakes Period. Potential winner will be notified by mail, email and/or telephone within forty-eight (48) hours of the end of each calendar day (“Drawing Period”). For example, if you enter on a Tuesday at 3pm ET and are selected as a winner, you will receive notification no later than 11:59 ET on Thursday. If potential winner cannot be contacted within a reasonable time period, does not respond within five (5) days from the date the Sponsor first tries to notify him/her, is not in compliance with these Official Rules and/or the prize or prize notification is returned as undeliverable, the potential winner forfeits all rights to receive the prize and, at the Sponsor’s discretion, an alternate potential winner may be selected. Upon determining that the potential winner has met all eligibility requirements and complied with the terms of these Official Rules, such individual will be declared the "winner" of the Sweepstakes. 5. PRIZE DESCRIPTION. One (1) selected winner per calendar day will receive one (1) copy of a “Seed Pick” book, as determined by Sponsor, based on supplies. Prizes will be selected from the supply of “Seed Pick” books and other titles based on availability of inventory, which will change over time. Winner must comply with these Official Rules to qualify for a prize. The Sponsor shall not be responsible for incorrect or inaccurate entry information whether caused by Internet users or by any of the equipment or programming associated with or utilized in the Sweepstakes or by any technical or human error which may occur in the processing of the entries in the Sweepstakes. The Sponsor assumes no responsibility or liability for any error, omission, interruption, deletion, theft or destruction, or unauthorized access to, or alteration of entries. 6. TAXES. All federal, state and/or local income and other taxes, if any, are the winner's sole responsibility. 7. ODDS OF WINNING. The odds of winning this Sweepstakes depend on the number of eligible entries received per day. 8. NO PRIZE TRANSFER OR SUBSTITUTION. No prize or any portion thereof is transferable. No substitutions for prize except by Sponsor, in which case a prize (or portion thereof) of comparable or greater value will be substituted. 9. CONSENT AND RELEASE. By entering the Sweepstakes, each entrant releases and discharges the Sponsors, and their respective parent, subsidiary, affiliated entities, advertising and promotion agencies and any other party associated with the development or administration of this Sweepstakes, and each of their respective officers, directors, members, shareholders, employees, independent contractors, agents, representatives, successors and assigns (collectively, "Sponsor Entities"), from any and all liability whatsoever arising, in whole or in part, directly or indirectly, in connection with this Sweepstakes or acceptance and use of any prize (including any travel or activity related thereto), including without limitation legal claims, costs, injuries, losses or damages, demands or actions of any kind (including without limitation personal injuries, death, damage to, loss or destruction or property, rights of publicity or privacy, defamation, or portrayal in a false light) (collectively, "Claims"). Except where prohibited, acceptance of a prize constitutes the consent of any winner, without further compensation, notification or permission, to use the name and likeness of such winner for editorial, advertising and publicity purposes by the Sponsors and/or others authorized by the Sponsors in any and all media now or hereafter known throughout the world in perpetuity. 10. DISCLAIMERS. (i) Entries that are lost, late, delayed, misdirected, incorrect, garbled, or incompletely received, for any reason, including by reason of hardware, software, browser, or network failure, malfunction, congestion, or incompatibility at Sponsors' servers or elsewhere, will not be eligible. In the event of a dispute, entries will be deemed submitted by the authorized account holder of the e-mail address submitted at the time of entry. "Authorized account holder" is defined as the natural person who is assigned to an e-mail address by an Internet Access Provider, online service provider, or other organization (e.g., business, educational institute) that is responsible for assigning e-mail addresses for the domain associated with the submitted e-mail address. (ii) Sponsors, in their sole discretion, reserve the right to disqualify any person tampering with the entry process or the operation of the web site or who are acting in an unsportsmanlike or disruptive manner or who are otherwise in violation of these Official Rules and void all associated entries. Use of bots or other automated process to enter is prohibited and may result in disqualification at the sole discretion of Sponsors and all associated entries will be void. (iii) Sponsors further reserve the right to cancel, terminate or modify the Sweepstakes if it is not capable of completion as planned, including by reason of infection by computer virus, bugs, tampering, unauthorized intervention, or technical failures of any sort. If terminated, Sponsors may, at their discretion, award the prize from among all non-suspect, eligible entries received up to time of such action. (iv) Sponsor Entities are not responsible for problems or errors of any kind, whether technical, mechanical, network, production, distribution, typographical, printing, human or otherwise, relating to or in connection with this Sweepstakes, including, without limitation, any errors or problems which may occur in connection with the administration of this Sweepstakes, the processing of entries, the announcement of the prize or in any Sweepstakes -related materials. (v) SPONSOR ENTITIES MAKE NO WARRANTIES, REPRESENTATIONS OR GUARANTEES, EXPRESS OR IMPLIED, IN FACT OR IN LAW, AS REGARDS THIS PROMOTION OR THE MERCHANTABILITY, QUALITY OR FITNESS FOR A PARTICULAR PURPOSE REGARDING ANY PRIZE OR ANY COMPONENT OF ANY PRIZE. (vi) CAUTION: ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE THE WEBSITE OR UNDERMINE THE LEGITIMATE OPERATION OF THIS SWEEPSTAKES MAY BE A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS, AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING WITHOUT LIMITATION ATTORNEYS' FEES) FROM ANY SUCH ENTRANT OR INDIVIDUAL TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION. 11. APPLICABLE LAWS AND JURISDICTION. This Sweepstakes is subject to all applicable federal, state, and local laws and regulations. Issues concerning the construction, validity, interpretation and enforceability of these Official Rules shall be governed by the laws of the State of New York. All disputes arising out of or connected with this Sweepstakes will be resolved individually, and without resort to class action, exclusively by a state or federal court located in New York, New York. Should there be a conflict between the laws of the State of New York and any other laws, the conflict will be resolved in favor of the laws of the State of New York. All judgments or awards shall be limited to actual out-of-pocket damages (excluding attorneys' fees) associated with participation in this Sweepstakes and shall not include any indirect, punitive, incidental and/or consequential damages. 12.
